These Terms and Conditions ("Terms") govern your use of the life insurance sales automation services ("Services") provided by Insure Easy AI ("Company," "we," "us," or "our"). The Services automate workflows for life insurance agents to enhance lead generation and maximize sales. By accessing or using the Services, you ("Client," "you," or "your") agree to these Terms. If you do not agree, you must not use the Services. These Terms are binding and non-negotiable to ensure clarity and prevent miscommunication.
1. Services Provided
The Services automate your life insurance sales workflow, including but not limited to lead generation, outbound and inbound communications, lead qualification, appointment scheduling, and live call transfers to help you market for more leads and focus on closing sales.
Pricing tiers (Starter, Growth, Elite) and optional add-ons (e.g., custom communication scripts, premium support) are detailed on our website or in your agreement.
Services include a one-time setup fee for initial configuration (based on your intake form) and a monthly maintenance fee for ongoing support and updates.
We strive to provide reliable automation but do not guarantee specific outcomes, such as increased leads or sales, as results depend on your usage, market conditions, and compliance with applicable laws (e.g., TCPA for communications).
2. Client Responsibilities
You must provide complete and accurate information via the intake form, including tools used, API keys or access credentials, agent phone numbers, and preferences. Incomplete or incorrect data may delay or impair Services, and you bear sole responsibility.
You are responsible for maintaining accounts with any third-party tools you use and covering their costs (e.g., per-call or per-message fees).
You must use the Services in strict compliance with all applicable federal, state, and local laws, including but not limited to insurance regulations, telemarketing laws (e.g., TCPA), and privacy laws (e.g., CCPA, GDPR). You agree to indemnify and hold us harmless against any claims, fines, or damages arising from your non-compliance.
You grant us permission to use your provided data (e.g., API keys, lead lists) solely to deliver and maintain the Services. You must not share sensitive data beyond what is required.
You are responsible for ensuring your lead sources (e.g., uploaded lists) comply with laws and have proper consent for contact.
3. Payment Terms
Setup Fee: A one-time, non-negotiable fee (e.g., $497 for Starter Tier) is due upon signing the agreement and covers initial setup based on your intake form.
Maintenance Fee: A recurring monthly fee (e.g., $99 for Starter Tier) is billed on the anniversary of your start date, covering monitoring, updates, and basic support.
Add-Ons: Optional features (e.g., $99/month for custom scripts) are billed monthly.
Payments must be made via our designated secure processor (e.g., Stripe). Late payments incur a 1.5% monthly fee or the maximum allowed by law, and Services may be suspended until payment is received.
Fees are non-refundable except as specified in Section 4. We reserve the right to adjust fees with 30 days' written notice via email or our website. Existing clients will be grandfathered at their current rate for at least 6 months.
You are responsible for all applicable taxes on the Services.
4. Refunds and Cancellations
Setup Fee: Refundable only within 7 days of payment if no customization has started (e.g., before intake form submission). Once setup begins, no refunds are provided, but we will make reasonable revisions within 14 days to address setup issues.
Maintenance Fee: Month-to-month; you may cancel with 30 days' written notice to support@insureeasyai.com. No refunds for partial months.
Add-Ons: Cancel with 30 days' written notice; no refunds for partial periods.
We may terminate or suspend Services immediately for non-payment, breach of Terms, or violation of applicable laws. Upon termination, access to Services ceases, but we may retain logs for compliance as outlined in the Privacy Policy.
To cancel, email support@insureeasyai.com with your account details. You are responsible for exporting your data before termination.
5. Intellectual Property
We own all intellectual property rights to the automation workflows, templates, scripts, and any custom code developed for the Services. You receive a non-exclusive, non-transferable, revocable license to use the Services during your active subscription.
You retain ownership of your data (e.g., lead lists, API keys). We do not claim rights to your client information but may use anonymized, aggregated data to improve Services.
You agree not to copy, modify, reverse-engineer, distribute, or resell any part of the Services, including workflows or templates, without our written consent.
6. Liability and Warranties
The Services are provided "as is" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or uninterrupted access.
Our total liability is strictly limited to the amount you paid for the Services in the 12 months preceding any claim. We are not liable for indirect, consequential, or incidental damages, including but not limited to lost profits, data loss, or third-party service failures.
You agree to indemnify, defend, and hold us harmless against any claims, damages, or costs arising from your use of the Services, including but not limited to violations of insurance, telemarketing, or privacy laws.
We are not responsible for issues caused by third-party tools (e.g., downtime, API changes) or your failure to provide accurate data.
7. Termination
You may terminate with 30 days' written notice to support@insureeasyai.com.
We may terminate immediately for breach of Terms, non-payment, or illegal activity. Upon termination, we provide a 14-day period to export your data (e.g., workflow configurations), after which access is revoked.
Data retention post-termination follows the Privacy Policy.
8. Governing Law and Dispute Resolution
These Terms are governed by the laws of Delaware, USA, without regard to conflict of laws principles.
Any disputes must be resolved through binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association (AAA). No class actions are permitted. Alternatively, claims may be filed in Delaware small claims court if applicable.
You agree to cover our reasonable legal fees if we prevail in any dispute.
9. Miscellaneous
Amendments: We may update these Terms with 30 days' written notice via email or our website. Continued use after changes constitutes acceptance.
Force Majeure: Neither party is liable for delays due to events beyond reasonable control (e.g., natural disasters, cyber-attacks).
Severability: If any provision is found invalid, the remaining provisions remain enforceable.
Entire Agreement: These Terms constitute the entire agreement between you and Insure Easy AI, superseding any prior agreements.
