Terms of Service

By purchasing, accessing, or using InsureEasy AI ("Service"), you agree to the following Terms of Service ("Terms"). InsureEasy AI is a boutique agency that installs elite AI Voice Agents for insurance professionals. If you do not agree to these Terms, do not use the Service.

1. Service Overview

InsureEasy AI provides a done-for-you installation of professional AI Voice Agents engineered to qualify prospects, handle follow-up, and fill your calendar with ready-to-close opportunities. Our role is to build, configure, and deploy the system into your agency. We do not provide insurance advice, sales guarantees, regulatory guidance, or ongoing compliance monitoring beyond the initial setup.

2. Compliance & Lead Consent (Critical)

You are solely and exclusively responsible for the source, consent, and legality of all leads uploaded to or processed by the Service. InsureEasy AI is designed to contact leads who have explicitly opted in and provided Prior Express Written Consent under TCPA regulations.

InsureEasy AI does not verify, validate, or confirm lead consent. We do not monitor your compliance with TCPA, DNC lists, state insurance regulations, or any other applicable laws. Any regulatory violations, penalties, fines, legal claims, or liabilities arising from your use of the Service— including but not limited to unauthorized contact, improper consent, or non-compliance—are entirely your responsibility.

By using this Service, you explicitly confirm and warrant that: (1) all leads uploaded have proper consent; (2) you will comply with all federal, state, and industry regulations; and (3) you accept full legal and financial responsibility for any violations or claims resulting from your use of the Service.

Platform Indemnity: Client acknowledges that InsureEasy AI utilizes third-party infrastructure (including but not limited to Nedzo.ai) to provide the Service. Client agrees that all indemnification and liability release terms outlined in Section 8 and 9 apply equally to these third-party providers. Client shall not initiate any legal action, claims, or demands against third-party infrastructure providers for any reason related to Client's use of the Service.

3. One-Time Setup & Ownership Model

The Service includes a one-time setup investment of $500 (discounted from $2,500 during the limited beta period). This fee covers professional scripting, CRM integration, voice calibration, compliance configuration, system deployment, internal testing, and post-setup support.

Once onboarding information is submitted and setup work has commenced, the Service is considered in active development and the setup fee is non-refundable under all circumstances. After setup is complete and you receive access credentials, the AI agent, system configuration, and operational control are fully transferred to you as your asset.

4. Refund Policy (No Refunds)

All setup fees are strictly non-refundable once onboarding has been submitted or any setup work has begun. This policy applies regardless of usage, satisfaction, performance, technical issues, or changes in business circumstances.

No refunds, credits, or pro-rated adjustments will be issued for completed, partially completed, or abandoned setup work. By proceeding with payment, you acknowledge and accept this no-refund policy in full.

The Setup Trigger: For the avoidance of doubt: "Setup work has begun" is defined as the moment the Client receives the Onboarding Brief or the moment InsureEasy AI initiates the configuration of the AI Persona, whichever occurs first.

5. No Guarantees or Warranties

InsureEasy AI provides system configuration, technical deployment, and installation services only. We make absolutely no guarantees regarding lead quality, contact rates, call outcomes, appointment volume, conversion rates, sales performance, revenue results, or return on investment.

Results depend entirely on factors outside our control, including but not limited to: lead quality, market conditions, your sales skills, script effectiveness, product competitiveness, and business operations. The Service is provided "as is" without warranties of any kind, express or implied.

6. AI-Assisted Communication & Ethics

You acknowledge that the Service uses AI-powered and automated voice communication technology to contact leads on your behalf. You agree to use the Service ethically, transparently, and in full compliance with all applicable laws. The AI agent is configured to identify itself as an AI during calls, follow industry best practices, and maintain compliance protocols. However, you remain solely responsible for all calls made through the Service.

Tamper Clause: The Service is delivered with mandatory, non-negotiable safety features, including: (A) AI identification within the first 3 seconds of the call; and (B) Automated recognition and termination of "Do Not Call" phrases. Client agrees not to modify, bypass, or disable these features. Any attempt to do so immediately voids all service support and shifts 100% of any resulting regulatory liability to the Client.

7. Payments & Billing

The one-time setup fee is charged upfront via Stripe at the time of purchase. All payments are processed securely through Stripe's payment infrastructure. Once payment is confirmed and setup work begins, fees are non-refundable under all circumstances. You are responsible for ensuring payment information is accurate and valid.

8. Limitation of Liability (Maximum Protection)

To the absolute maximum extent permitted by law, InsureEasy AI and its owners, employees, contractors, affiliates, partners, and representatives are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of, inability to use, or results obtained from the Service.

This includes, but is not limited to: lost revenue, missed sales opportunities, compliance penalties, regulatory fines, TCPA violations, legal fees, lawsuits, business losses, reputational harm, data loss, system failures, integration issues, technical errors, or any other damages of any kind, whether foreseeable or not.

Our absolute maximum total liability under any circumstances is strictly limited to the amount you paid for the one-time setup fee ($500). By using the Service, you accept this limitation in full and waive any right to seek damages beyond this amount.

9. Indemnification

You agree to indemnify, defend, and hold harmless InsureEasy AI and its owners, employees, contractors, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from: (1) your use of the Service; (2) your violation of these Terms; (3) your violation of any laws or regulations; (4) unauthorized or non-compliant use of leads; or (5) any disputes with third parties resulting from your use of the Service.

10. Acceptable Use Policy

You may not use the Service for unlawful, deceptive, abusive, harassing, fraudulent, or non-compliant outreach. You may not contact leads without proper consent or in violation of TCPA, DNC regulations, or other applicable laws. We reserve the right to immediately suspend or terminate access for violations of this policy without notice or refund.

11. System Availability & Technical Issues

While we strive for high system availability and reliability, InsureEasy AI does not guarantee uninterrupted, error-free, or secure operation of the Service. We are not responsible for downtime, technical issues, third-party service failures, integration problems, data loss, or any losses resulting from system unavailability or technical difficulties.

12. Modifications to Terms

We reserve the right to update, modify, or replace these Terms at any time by posting revised Terms on our website. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We strongly encourage you to review these Terms periodically for changes.

13. Dispute Resolution & Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, and you waive any right to participate in class action lawsuits or class-wide arbitration.
